Our Regulatory & Governance practice advises government entities, corporations and financial institutions on the rules that govern how they are established, licensed, and held accountable in the Kingdom. Our areas of specialty include the following:

At KN&P, our team advises on the regulatory frameworks that determine what an entity may do, who supervises it, and on what terms. Our work spans transportation, logistics, investment, trade, technology and infrastructure, and includes licensing requirements, jurisdictional questions between authorities, and the regulatory analysis that underpins major commercial decisions.

Our team includes lawyers who have served inside the regulator, including at the Transport General Authority, where they led the development of the Kingdom's land, maritime, railway and postal transport laws. That experience means we advise not only on what the regulation says, but on how it is applied.

We prepare and review laws, executive regulations, bylaws and governance instruments, and support clients before the committees where those instruments are examined, including the Bureau of Experts at the Council of Ministers. Our team advises on referrals from the Council of Economic and Development Affairs, prepares the legal studies that support executive decision-making, and drafts the frameworks under which new bodies are established.

We advise on the creation, transformation and restructuring of institutions: converting public bodies into companies, establishing non-profit and corporate structures, and designing governance models that separate regulatory functions from operational ones. Our work in this area includes mandates under Royal Commission frameworks and for entities operating in the Holy Sites.

At KN&P, we advise boards and executive management on governance frameworks, board and committee structures, conflicts of interest, delegated authority, and the statutory obligations that follow. We act as board secretary and legal consultant to companies and investment funds, preparing resolutions, minutes and constitutional documents, and advising on the governance requirements of the Companies Law and the regulations of the Capital Market Authority.

We represent clients before regulators, committees and the competent authorities in regulatory proceedings, and advise on compliance frameworks, internal policies and the regulatory aspects of commercial arrangements. Our team also advises on the interaction between regulation and contract, including concession arrangements, public procurement, and agreements between private parties and government entities.
