Marya Mufti is a Senior Associate at KN&P. She is a licensed lawyer by the Saudi Ministry of Justice in Saudi Arabia. She holds a Master’s degree in LLM InternationalLaw from the University College London (UCL), and Bachelor’s degree LLB Law from SOAS, University of London. She has extensive experience in Capital Markets including ECM and DCM transactions, fund establishment, custody and securities related transactions.
- Advising on solutions by STC public offering with the total IPO proceeds raising SAR 3.624 billion (US$ 966.4 million) being the largest in Saudi Market
- Advising on the issuance of the first issuance of short-term certificates, denominated in Saudi riyals, through a private placement with SAR 1.25 billion (US$ 300 million) raised during the first issuance which represents 25% of the entire program, which amounts to SAR 5 billion (US$ 1.3 billion).
- Advising on the “first-of-its-kind” dual and concurrent IPO of Americana Restaurant PLC on the main market of the Saudi Exchange in Saudi Arabia and Abu Dhabi Securities Exchange in the United Arab Emirates.
- Assisting in the establishment of Real Estate Fund and advising on the legal and constitutional documents of the funds including fund’s terms and conditions and fund management agreement.
- Advising on global and local custody agreements with international counterparties.
- Advising on securities borrowing and lending transaction for both Saudi and non-Saudi securities.
- Advising on securities borrowing and lending transaction agreements under Saudi Law.
- Providing legal advice on Investment Management Agreement and Discretionary Portfolio Management Agreements.
- Providing legal advice on derivatives related transactions such as ISDA.
- Providing legal advice on repo related transaction including GMRA.
- Providing legal advice on regarding CMA applicable laws and regulations.
- Successfully defending a client at Labour Court for SAR1.2 million (US$ 320 thousand) employment dispute against a large company.
- Providing legal advice to clients regarding Saudi LabourLaw.
- Successfully defending a client at General Court for SAR900 thousand (US$ 240 thousand) over loan dispute against a company.
- Providing general legal advice regarding clients third party agreements.
- Responding to a request for information on legal issues and providing answers, opinions and recommendations.
- Reviewing a number of lease agreements and services agreements in relation with their compliance to Saudi law.
